These Terms of Service ("Terms") govern your access to and use of the Aletheia platform and services provided by Aletheia ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Aletheia in any way, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of your organization, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

Aletheia provides a software platform for managing global trade operations, including sales intelligence, sourcing and procurement, product development, logistics, and business analytics. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Promptly update your information to keep it accurate
• Notify us immediately of any unauthorized account access
• Not share your credentials with unauthorized parties

4. Acceptable Use

You agree to use Aletheia only for lawful purposes and in accordance with these Terms. You must not:

• Use the platform to facilitate illegal transactions or activities
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to any part of our systems
• Reverse engineer, decompile, or disassemble any portion of the platform
• Use automated tools to scrape or extract data without written permission
• Resell or sublicense access to the platform without authorization

5. Your Data and Content

You retain ownership of all business data and content you upload to Aletheia ("Your Data"). By using our services, you grant us a limited license to process Your Data solely to provide the services to you. We will not use Your Data for any other purpose or share it with other customers.

You represent that you have all necessary rights to upload Your Data and that doing so does not violate any third-party rights or applicable laws.

6. Intellectual Property

Aletheia and its original content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand elements without prior written consent.

7. Payment and Subscription

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as otherwise specified in your subscription agreement. We may modify pricing with 30 days' prior written notice.

8. Confidentiality

Each party agrees to keep confidential all non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation survives termination of these Terms for a period of three years.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALETHEIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

11. Termination

Either party may terminate these Terms at any time with 30 days' written notice. We may terminate or suspend your access immediately if you materially breach these Terms. Upon termination, your right to use the services ceases and we will provide a reasonable period for you to export Your Data.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in New York, NY, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes with at least 30 days' notice. Your continued use of the services after the effective date of changes constitutes your acceptance of the new Terms.
