Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Aletheia platform and services provided by Aletheia ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Aletheia in any way, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of your organization, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

Aletheia provides a software platform for managing global trade operations, including sales intelligence, sourcing and procurement, product development, logistics, and business analytics, offered through our web platform and mobile apps (including Aletheia Trade Show Manager). We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

You agree to use Aletheia only for lawful purposes and in accordance with these Terms. You must not:

4a. Objectionable Content and Abusive Users

There is no tolerance for objectionable content or abusive behaviour on Aletheia. Where our services let you publish content that other users can see — for example a selling profile in the supplier directory of the Aletheia Trade Show Manager app — you are solely responsible for what you publish, and the rules in Section 4 apply to it in full.

Every published profile can be reported and every user can be blocked from within the app. Tap the “…” control on a supplier in Find Suppliers to report the content or block the user; blocked users are hidden from you immediately, and you can manage them under Account → Blocked suppliers. We review reports of objectionable content within 24 hours. Content that breaches these Terms is removed, and we may suspend or permanently terminate the account responsible without notice and without refund.

Reports of sexual content, exploitation or trafficking, violence or abuse, and illegal goods are treated as severe: the reported profile is withdrawn from public view immediately and stays withdrawn until a person has reviewed it. Images are also screened automatically before they can be published.

We cooperate with law enforcement where the law requires it, and we report apparent child sexual abuse material to the National Center for Missing & Exploited Children (NCMEC) as required under 18 U.S.C. § 2258A.

5. Your Data and Content

You retain ownership of all business data and content you upload to Aletheia ("Your Data"). By using our services, you grant us a limited license to process Your Data solely to provide the services to you. We will not use Your Data for any other purpose or share it with other customers.

You represent that you have all necessary rights to upload Your Data and that doing so does not violate any third-party rights or applicable laws.

6. Intellectual Property

Aletheia and its original content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand elements without prior written consent.

7. Payment and Subscription

Access to our web platform may be offered on a subscription basis, billed in advance. The Aletheia Trade Show Manager mobile app is currently free to use. Where a subscription is purchased through the Apple App Store or Google Play, billing, renewals, and cancellations are handled by that store: subscriptions renew automatically unless canceled at least 24 hours before the end of the current period, and you can manage or cancel them in your store account settings. Fees are non-refundable except as required by law. We may modify pricing with 30 days' prior written notice.

8. Confidentiality

Each party agrees to keep confidential all non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation survives termination of these Terms for a period of three years.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALETHEIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

11. Termination

Either party may terminate these Terms at any time with 30 days' written notice. We may terminate or suspend your access immediately if you materially breach these Terms. Upon termination, your right to use the services ceases and we will provide a reasonable period for you to export Your Data.

12. Mobile Applications

We grant you a limited, non-exclusive, non-transferable, revocable license to use our mobile apps on devices you own or control, subject to these Terms. Apps downloaded from the Apple App Store are also subject to Apple's standard licensed-application terms; you acknowledge that Apple is not a party to these Terms, is not responsible for the apps or their content, and has no obligation to provide support. Apps downloaded from Google Play are subject to Google's applicable terms.

13. No Professional Advice

Aletheia and its content are provided for general informational and operational purposes and do not constitute legal, customs, tax, trade, or other professional advice. You are responsible for verifying regulatory and customs requirements and should consult a qualified professional before acting.

14. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in New York, NY, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes with at least 30 days' notice. Your continued use of the services after the effective date of changes constitutes your acceptance of the new Terms.
